Document Ingestion and Classification

The agent receives the contract document from the intake source — SharePoint, email attachment, or document management system — and classifies it by contract type using the organization's contract taxonomy. Classification determines which template and which extraction criteria will be applied. Contracts that cannot be classified with sufficient confidence are flagged for human classification before processing continues.

Structured Clause Extraction

The agent extracts the defined clause types from the contract — indemnity, limitation of liability, governing law, termination, payment terms, confidentiality, IP ownership, and any additional clause types defined in the extraction criteria for the specific contract type. Extraction is against a defined schema, not a general summarization. The output of this step is a structured data record, not a narrative summary.

Template Comparison

Each extracted clause is compared against the corresponding clause in the standard template for this contract type. Differences are identified at the field level — not as a general "this clause is non-standard" observation, but as a specific difference between the extracted clause text and the template clause text, with the exact deviation highlighted.

Deviation Classification

Each identified deviation is classified by materiality tier: acceptable variation (within defined tolerance), minor exception (outside tolerance but within defined acceptable range), and material exception (requires legal or procurement review before execution). The materiality tiers are defined during the architecture design phase and encoded as part of the agent's reasoning criteria — they are not made ad hoc by the agent on each contract.

Risk Flag Application

Deviations classified as material exceptions are assessed against defined risk flags — specific clause patterns that the organization has identified as high-risk based on prior contract disputes, regulatory requirements, or risk policy. Contracts with one or more risk-flagged deviations are escalated for immediate legal review. Contracts with material exceptions but no risk flags are routed for standard review queue.

The agent produces a structured exception report for each contract: contract identification, classification, a summary of extracted clauses, a deviation register with materiality tiers, risk flag status, and a recommended routing — standard review queue, immediate legal escalation, or no exceptions requiring review. Human Review Routing and Audit Logging

The exception report is routed to the appropriate reviewer based on routing criteria. All contracts with material exceptions go to the review queue; risk-flagged contracts go to the immediate escalation path. Every processing step is logged for governance audit. The log links the exception report to the source document, the extraction criteria applied, the template version used, and the deviation classifications that produced the routing decision.

A document source with API or connector access — SharePoint, OneDrive, a document management system, or email attachment capture. Contracts must be in a format the agent can process: PDF, Word, or plain text. Scanned PDFs without OCR require a pre-processing step.

Standard contract templates for each contract type in scope, with the specific clause fields the extraction criteria will compare against documented in a structured format. If standard templates do not exist, template development is a prerequisite to agent deployment — the agent's comparison step requires a reference template to compare against.

A defined materiality framework: what constitutes an acceptable variation, a minor exception, and a material exception for each clause type. This is organizational legal or procurement policy, not a default the agent provides. If the materiality framework does not exist in documented form, it needs to be developed and approved before the extraction criteria are built.
